Ordinance No. 15,975 ORDINANCE NO. 15,975 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING AND DIRECTING THE MAYOR TO EXECUTE AND THE CITY CLERK TO ATTEST TO THE RENEWAL OR EXTENSION OF THE INDUSTRIAL DISTRICT AGREEMENT WITH AMERIPORT BUILDING 5 LLC;AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ************************************************************************************* BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1: That the City Council of Baytown, Texas, hereby authorizes and directs the Mayor and City Clerk of the City of Baytown to execute and attest to the renewal or extension of the Industrial District Agreement with Ameriport Building 5 LLC. A copy of said agreement is attached hereto, marked Exhibit "A"and incorporated herein for all intents and purposes. Section 2: This ordinance shall take effect immediately from and after its passage by the City Council of the City of Baytown. The City and the Property Owner are hereinafter sometimes referred to individually as a "Party"and collectively as the"Parties." WHEREAS,the Parties entered into an Industrial District Agreement with an effective date of July 131h, 2017 (the"Agreement"). WHEREAS, the Parties now desire to renew the Agreement and extend the termination date for a period of fifteen (15) years, adjusted to account for any time that has already elapsed since the original termination date of the lapsed contracts. The extension shall be calculated as fifteen(15) years minus the period that has already commenced under the lapsed contract terms. NOW, THEREFORE, in consideration of the promises and of the mutual covenants and agreements herein contained, it is agreed by and between the City and the Property Owner as follows: 1. Add the following sentence to Article III entitled "Term": The term of this Agreement is extended for fifteen (15)tax years beginning on December 31'', 2023, and ending at 11:59 p.m. on December 311-', 2038, unless this Agreement is sooner terminated under the provisions hereof. 2.
