AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS,
AUTHORIZING A SECOND AMENDMENT TO THE PROFESSIONAL SERVICES
AGREEMENT WITH ARDURRA GROUP, INC., FOR THE DEVELOPMENT AND
IMPLEMENTATION OF A SUPERVISORY CONTROL AND DATA ACQUISITION
(SCADA) SYSTEM FOR THE CITY OF BAYTOWN WASTEWATER SYSTEM;
EXPANDING THE SCOPE OF SERVICE AND AUTHORIZING AN ADDITIONAL
PAYMENT BY THE CITY OF BAYTOWN IN AN AMOUNT NOT TO EXCEED ONE-
MILLION, TWO-HUNDRED, SIXTY-SIX THOUSAND, FIVE-HUNDRED AND
NO 100 DOLLARS ($1,266,500.00); MAKING OTHER PROVISIONS RELATED
THERETO; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF.

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes and directs
the City Manager to execute and the City Clerk to attest to an amendment to the Professional Services
Agreement with Ardurra Group, Inc., for the development and implementation of a Supervisory Control
and Data Acquisition (SCADA) System to expand the scope of services. A copy of said agreement is
attached hereto as Exhibit"A" and incorporated herein for all intents and purposes.
Section 2: That the City Council of the City of Baytown authorizes an additional payment to
Ardurra Group, Inc., in an amount not to exceed ONE-MILLION, TWO-HUNDRED, SIXTY-SIX
THOUSAND, FIVE-HUNDRED AND NOi 100 DOLLARS ($1,266,500.00) for professional services in
accordance with the agreement authorized in Section 1 hereinabove.
Section 3: That the City Manager is hereby granted general authority to approve a decrease or
an increase in costs by FIFTY THOUSAND AND NO 100 DOLLARS($50,000.00)or less.
Section 4: This ordinance shall take effect immediately from and after its passage by the City
Council of the City of Baytown.

Explanation•
The following amendment to the original agreement with Ardurra is to add the additional scope of work of
Control System Configuration and Startup Services. With the implantation of the new Wastewater SCADA
System and installation of equipment at the three Wastewater Treatment Plants, Ardurra will configure the
City's standard software package VT Scada to provide remote visibility and communication of the city's waste
water treatment plants(WWTP)Central District,Northeast District, and West District.
The list of tasks under the System Configuration are as follows: WWTP Initial Report Development, PLC &
HMI Loop Checkout Test Programs, Develop Final Programming, Develop WWTP Final Reports, Develop
Operator Workstation Graphics Displays and Database including QA/QC, Develop WWTP PLC Programs.
The list of tasks under the Startup Services are as follows: WWTP Test Procedure Documentation, Attend
Contractor Unwitnessed Factory Acceptance Test, Attend Contractor Witnessed Factory Acceptance Test,
Operational Readiness Test, Functional Demonstration Test, Site Acceptance Test, Test History System and

Unless a different meaning clearly appears from the context,words and phrases as used in this Amendment, the
terms and phrases as used herein shall have the same meanings as in the Agreement. The provisions of this
Amendment and the Agreement and all previous amendments, if any, shall be read together and construed as
one agreement provided that, in the event of any conflict or inconsistency, between the provisions of this
Amendment and the provisions of the Agreement and any previous amendment,the provisions of this
Amendment shall control. This Amendment has been jointly negotiated by the parties hereunder and shall not
be construed against a party hereunder because that party may have assumed primary responsibility for the
drafting of this Amendment. By this Amendment, the City does not consent to litigation or suit, and the City
hereby expressly revokes any consent to litigation that it may have granted by the terms of this Amendment, the
Agreement or any other contract or agreement or addenda,any charter,or applicable state law. Nothing
contained in this Amendment or in the Agreement shall be construed in any way to limit or to waive the City's
sovereign immunity.
The persons executing this Agreement hereby represent that each party has the full power and authority to enter
into and perform pursuant to the Amendment, and that each has been properly authorized and empowered to
enter into the Amendment.
Upon execution by all parties,the following changes identified for the Contract Value and/or Contract

SCOPE OF SERVICES
TO
ENGINEERING SERVICES AGREEMENT
FOR
CITY OF BAYTOWN
WASTEWATER TREATMENT PLANTS AND LIFT STATIONS SCADA
CONTROL SYSTEM CONFIGURATION AND STARTUP SERVICES
The Owner hereby engages the Engineer to perform the Control System Configuration
and Startup Services for the Baytown Wastewater Treatment Plants(WWTPs)and Lift
Stations SCADA project. The scope is arranged and divided into three tasks: Task A—
Project Management and Lift Stations,Task B—Wastewater Treatment Plant Al A Cart,
and Task C—On-Call Services. Subtask listed in Task A will be performed regardless if
Task B or Task C is selected. Task B subtasks are presented in an Al A Cart menu
format allowing the City to select the services to match the contractor's scope and
funding available. Task C subtask provides on-call service and support after the project
has reached substantial completion and should not be part of the ARPA funding. On-call
tasks will be Time and Material not to exceed the amount in the Level of Effort schedule.
Services to be performed by the Engineer shall include the following:
TASKS B— WASTEWATER TREATMENT PLANT(AL A CART)
TASK B-1 —WWTP SCADA GENERAL CONFIGURATION SERVICES
Tasks within the WWTP SCADA general configuration services are common tasks for
wastewater treatment plants. These tasks are necessary whether one treatment plant is
selected or all three.
Task B-1.1—WWTPs Initial Report Development
Engineer will meet with the Owner to discuss reporting requirements for the reports
attached as Appendix A. Meeting topics will include a discussion of report output,
format, and manual data entry. After the meeting,the Engineer will develop draft report
formats and submit them to the Owner for review. Report development will use standard
software provided by the Owner including VTScada Historian database and Microsoft
Excel. This task includes a maximum of 3 reports. Additional reports can be developed
as a supplemental service.

Task B-1.2—WW]rPs PLC&HMI Loop Checkout Test Programs
Engineer will develop loop checkout PLC Programs and an Operator Workstation Loop
Checkout Application to allow the Electrical Contractor to trip signals to the PLC and
verify operation at an Operator Workstation. The PLC programs will consist of the
minimum programming to allow signals to pass from the field through the PLC and
display on the Operator Workstation. No control will be provided with these Loop
Checkout programs.
Task B-1.3—Develoo WWTPs Final Programming
After reviewing the Operator Workstation graphic displays and control narratives with
the Owner,the Engineer will incorporate the Owner's comments and develop the final
Workstation displays and PLC programming. The Engineer will complete a quality
control review of all programming documentation,PLC programming, and graphic
display development.
Task B-1.4—Develop WWTPs Final Reports
After final programming is complete, Engineer will develop and finalize the reports
identified in Task A-3.1 The Engineer will incorporate the Owner's comments and
complete a quality control review of the reports.
TASK B-2—CENTRAL DISTRICT WWTP SCADA SERVICES
Work includes developing operator workstation graphic displays, configuring the
SCADA database,commissioning integration for three new PLCs, and integrating three
existing PLCs and auxiliary devices for the Central District WWTP.
SCADA CONFIGURATION SERVICES
Task B-2.1—Develop Operator Workstation Graphics Displays and Database including
OA/OC
Develop new operator control and monitoring three WWTP displays for the Operator
Workstation. The Operator Workstation will be programmed to control the plant
according to the control block descriptions listed in the Contract Documents. After the
Operator Workstation graphic displays are developed the Engineer will prepare
documents for review by the Owner. After approximately a two-week review period, the
Engineer will meet with the Owner to review the Operator Workstation graphics
programming and obtain comments.
Operator Workstation graphic displays will include:
• Operator Workstation navigation menus
• Plant overview display
• Monitoring and control function displays as described in the control descriptions
• Equipment control popups

The Engineer will complete a quality control review of all graphic display documentation
and configuration development.

Task B-2.2—Develop WWTPs PLC Programs
After initial programming has been developed and reviewed by the Owner,the Engineer
will develop the PLC tag listing and proceed with PLC program development using
hardware and software provided to the Engineer. The PLCs shall be programmed to
control the plant according to the control block descriptions listed in the Contract
Documents.
This task does not include extensive development of temporary control strategies to allow
full automatic control of the plant during all phases of construction. It is assumed that the
Owner will control processes manually as needed during various phases of the
construction. The Engineer will provide minor PLC modifications during startup to assist
the Owner in manual or semi-automatic control. If the Owner deems it necessary to
implement temporary programs, that are not described in control block descriptions, to
automate the process, the Engineer will provide these services as a supplemental service
to the scope of work.
SCADA SYSTEM COMMISSIONING
Task B-2.3—WWTPs Test Procedure Documentation
Engineer will develop configuration and programming testing procedures to be used
during the Operational Readiness Test and the Functional Demonstration Test. Testing
will be based on a cause-and-effect approach.
Deliverable:
• Test Procedure Submittal
Task B-2.4—Attend Contactor Unwitnessed Factory Acceptance Test
The Engineer will attend the factory acceptance testing. The Engineer will perform
testing with the contractor to verify the operation of control system communications and
the ability to transfer data. The wiring of each 10 point in the control panel will be
verified. The Engineer will generate a memorandum summarizing the results of the
unwitnessed factory acceptance test. Contractor shall be responsible for submitting test
results to the Engineer and Owner. This task includes all costs for one 5-day site visit to
the control system supplier's facility.

Task B-2.5—Attend Contactor Witnessed Factory Acceptance Test
The Engineer will attend the factory acceptance testing in conjunction with the Owner's
Construction Administration representative. Travel expenses for the Owner's
representative will be by the Engineer. Engineer will perform testing with the contractor
to verify and witness the operation of control system communications and the ability to
transfer data. The wiring of each I'O point in the control panel will be verified. The
Engineer will generate a memorandum summarizing the results of the factory acceptance
test. Contractor shall be responsible for submitting test results to the Engineer and
Owner.This task includes all costs for one 5-day site visit to the control system supplier's
facility. If the factory acceptance test results in signification deficiencies that warrant a
second factory acceptance test,the Engineer can attend as a supplemental service.
Deliverable:
• Summary of results memorandum
Task B-2.6—Operational Readiness Test
After the control system equipment has been verified and debugged,the Engineer will
install the HMI programming and debug all Operator Workstation graphic displays for
control of the system by performing PLC 1/0 loop checks in conjunction with PLC
program testing. If signals from field equipment or other PLCs are not available,the
signals will be simulated as required to verify proper operation. If deficiencies in the
existing 1/0 are found during the Operator Workstation debugging,the Engineer will
provide a statement of deficiency to the Owner for resolution. The deficiency statement
may include items regarding the control system installation and communication.
Engineer will notify the Owner of significant changes in the Contractor's schedule or
completion of work that will impact costs for the Debug Operator Workstation
Programming task.
The installation and testing included in this task are for the following:
• Central District WWTP (40 hours per PLC)
Deliverable:
• Statement of deficiency
Note: Contractor shall be responsible for submitting the successful test results to the
Engineer and Owner. The testing forms shall be signed off by Contractor, Engineer
Configuration, Engineer, and Owner.
Task B-2.7—Functional Demonstration Test
After the control system equipment has been verified and debugged, Engineer will install
the PLC programming and debug the PLC program by performing PLC 1/0 loop checks
and in conjunction with Operator Workstation program testing. PLC programming will
be tested in manual and auto mode. If signals from field equipment or other PLCs are not
available,the signals will be simulated as required to verify proper operation of the PLC
algorithm. If deficiencies in the existing 1/0 are found during the Operator Workstation

debugging, the Engineer will provide a statement of deficiency to the Owner for
resolution. The deficiency statement may include items regarding the control system
installation and communication.
The installation and testing included in this task are for the following:

Note: Contractor shall be responsible for submitting the successful test results to the
Engineer and Owner. The testing forms shall be signed off by Contractor, Engineer

Task B-2.8—Site Acceptance Testine
The Engineer will witness a portion of the Contractor's Site Acceptance Test in
conjunction with the Owner's Construction Administration representative. This task
includes one 5-day site visit to the Owner's facility. If the Contractor has significant
deficiencies that warrant additional site acceptance testing,the Engineer can attend
additional testing as a supplemental service.
TASK B-3—NORTHEAST DISTRICT WWTP SCADA SERVICES
Work includes developing operator workstation graphic displays, configuring the
SCADA database,commissioning integration for six new PLCs, and integrating auxiliary
devices for the Northeast District WWTP.

Task B-3.1—Develop Operator Workstation Graphics Displays and Database including
OAOC
Develop new operator control and monitoring three WWTP displays for the Operator
Workstation. The Operator Workstation will be programmed to control the plant

documents for review by the Owner. After approximately a two-week review period,the
Engineer will meet with the Owner to review the Operator Workstation graphics

The Engineer will generate a memorandum summarizing the results of the factory

and Owner.This task includes all costs for one 5-day site visit to the control system
supplier's facility. If the factory acceptance test results in signification deficiencies that
warrant a second factory acceptance test, the Engineer can attend as a supplemental

Task B-4.6—Operational Readiness Test
After the control system equipment has been verified and debugged,the Engineer will
install the HMI programming and debug all Operator Workstation graphic displays for
control of the system by performing PLC 1/0 loop checks and in conjunction with PLC
program testing. If signals from field equipment or other PLCs are not available, the
signals will be simulated as required to verify proper operation. If deficiencies in the
existing 1/0 are found during the Operator Workstation debugging,the Engineer will
provide a statement of deficiency to the Owner for resolution. The deficiency statement
may include items regarding the control system installation and communication.
Engineer will notify the Owner of significant changes in the Contractor's schedule or
completion of work that will impact costs for the Debug Operator Workstation
Programming task.
The installation and testing included in this task are for the following:
• West District WWTP (40 hours per PLC)

• Statement of deficiency
Note: Contractor shall be responsible for submitting the successful test results to the

deficiencies that warrant additional site acceptance testing, the Engineer can attend
additional testing as a supplemental service.

TASK C-1—ON-CALL SERVICES
Task C-1.1—Post Startup Services
Engineer shall provide four 2-day(64-hour)quarterly post-startup service trips over one
year to make adjustments,perform additional programming, and answer the Owner's
questions regarding the PLC HMI configuration. The efforts to be accomplished during
these service trips will be coordinated with the Owner to address desires they may have.
Task C-1.2—On-Call Services
Engineer shall provide one year after final acceptance to be available to make corrective
actions SCADA system to ensure the system is within compliance with the design intent.
Items that are found to not be the fault of the PLC HMI configuration will be considered
one of the quarterly post-startup service trips. On-call services may be extended after one
year. 256 hours have been reserved for this task.

SUPPLEMENTAL SERVICES
Any work requested by the Owner that is not included in the phases as described herein
will be considered a Supplemental Service to the Contract and may be added to the Scope
upon mutual agreement to an increase in the maximum amount to be billed limit.
Supplemental Services shall include,but are not limited to:
A. Any meetings with local, State, or Federal agencies,or utilities,or other affected
parties to discuss the project,other than those specifically noted.
B. Any appearances at any public hearings or before special boards.
C. Any engineering work required to meet the requirements of regulatory or funding
agencies that may be required to respond to comments or necessary to implement the
project.
D. Special consultants or independent professional associates requested or authorized by
the Owner.
E. Facility operation and maintenance manual(in addition to the equipment operation
and maintenance manuals provided by the Contractor), and operator training,other
than those specifically noted.
F. Preparation for litigation, arbitration,or other legal or administrative proceedings; and
appearances in court or at arbitration sessions in connection with the project.
G. Provision, through a subcontract,of photographs or videotapes of the facility.
H. An environmental assessment report and/or environmental impact statement as
requested by the Owner or required by review agencies.
1. Provision, through a subcontract, of any special reports or studies on materials and
equipment requested by the Owner.
J. Monitoring sites or adjacent sites for air quality and/or noise.
K. Provisions to prepare or conduct confined space evaluation or permits.
L. Providing written procedures, training, physical assessment,or any other Health and
Safety provisions that may be required in the event hazardous materials are
encountered.
M. Development of hazardous waste treatment,mitigation,or reduction systems for
handling hazardous materials found or generated on the project.
