A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN
MUNICIPAL DEVELOPMENT DISTRICT AMENDING THE HYATT REGENCY
BAYTOWN-HOUSTON OPERATING BUDGET FOR THE 2025 FISCAL YEAR;
ADOPTING THE HYATT REGENCY BAYTOWN-HOUSTON CAPITAL BUDGET
FOR THE 2025 FISCAL YEAR; RESCINDING RESOLUTION NO. 480; AND
PROVIDING FOR THE EFFECTIVE DATE THEREOF.

BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN MUNICIPAL
DEVELOPMENT DISTRICT:
Section 1: That the amended operating budget estimate of the revenues of the Hyatt Regency
Baytown-Houston("Hotel") and the expenses of conducting the affairs thereof for the 2025 fiscal year as
finally submitted to the Board of Directors by the General Manager of Baytown Municipal Development
District, is hereby adopted and approved as the operating budget estimate of all the current expenses, as
well as the fixed charges against the Hotel for the 2025 fiscal year. A copy of the capital budget is attached
hereto as Exhibit"A"and incorporated herein for all intents and purposes.
Section 2: That the capital budget estimate of the revenues of the Hyatt Regency Baytown-
Houston ("Hotel") and the expenses of conducting the affairs thereof for the 2025 fiscal year as finally
submitted to the Board of Directors by the General Manager of Baytown Municipal Development District,
is hereby adopted and approved as the capital budget estimate of all the current expenses, as well as the
fixed charges against the Hotel for the 2025 fiscal year. A copy of the capital budget is attached hereto as
Exhibit"B"and incorporated herein for all intents and purposes.
Section 3: That Resolution No. 480 adopted on August 22, 2024 is hereby rescinded.
Section 4: This resolution shall take effect immediately from and after its passage by the
Board of Directors of the Baytown Municipal Development District.
