Ordinance No. 15,862 ORDINANCE NO. 15,862 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS, AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE AND THE CITY CLERK TO ATTEST TO THE FIRST AMENDMENT TO THE SITE LEASE WITH T-MOBILE WEST TOWER, LLC; AND PROVIDING FOR THE EFFECTIVE DATE THEREOF. ************************************************************************************* WHEREAS, the City of Baytown("Landlord") and T-Mobile Texas, L.P. ("Original Tenant") entered into a Site Lease with Option dated December 29, 2006, which was recorded in the official records of Harris County,Texas on February 19, 2007 at Instrument No. 20070103806 (the "Lease"); and WHEREAS, T-Mobile West Tower LLC ("Tenant") is the successor in interest to the Original Tenant under the Lease; and WHEREAS, the premises, as defined in the Lease, are used for constructing, maintaining, and operating a communications facility; and WHEREAS, the lease commenced on January 10, 2007, and expired on January 9, 2012, and provides for five (5)extensions of five(5) years each,three(3)of which have been exercised by the Tenant, with the final extension expiring on January 9, 2037; and WHEREAS, the City of Baytown and T-Mobile West Tower LLC desire to amend the lease as outlined in the First Amendment to Site Lease with Option(the "First Amendment"); NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN, TEXAS: Section 1. That the City Council of the City of Baytown, Texas, hereby authorizes and directs the City Manager and City Clerk of the City of Baytown to execute and attest to the First Amendment to the Site Lease with T-Mobile West Tower, LLC. A copy of said amendment is attached hereto, marked Exhibit"A"and incorporated herein for all intents and purposes. Section 2. RECITALS WHEREAS, Landlord and T-Mobile Texas. L.P., a Delaware limited partnership ("Original Tenant") entered into a Site Lease With Option dated December 29, 2006, a memorandum of which was recorded in the official records of Harris County, Texas ("Official Records") on February 19, 2007 at Instrument No. 20070103806 (the "Lease") whereby Original Tenant leased certain real property, together with access and utility easements, located in Harris County, Texas from Landlord (the "Premises"), all located within certain real property owned by Landlord ("Landlord's Property"); and WHEREAS, T-Mobile West Tower LLC is currently the Tenant under the Lease as successor in interest to the Original Tenant; and WHEREAS, the Premises may be used for the purpose of constructing, maintaining and operating a communications facility, including tower structures, equipment shelters, cabinets, meter boards, utilities, antennas, equipment, any related improvements and structures and uses incidental thereto; and WHEREAS, the Lease had an initial term that commenced on January 10,2007 and expired on January 9, 2012. The Lease provides for five (5) extensions of five (5) years each, three (3) of which were exercised by Tenant. According to the Lease, the final extension expires on January 9, 2037; and WHEREAS, Landlord and Tenant desire to amend the Lease on the terms and conditions contained herein. NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are acknowledged, Landlord and Tenant agree as follows: 1. Recitals; Defined Terms. The parties acknowledge the accuracy of the foregoing recitals. Any capitalized terms not defined herein shall have the meanings ascribed to them in the Lease. 2. Premises. The Premises is more particularly described on Exhibit A-I attached hereto, and is shown on the site plan attached hereto as Exhibit B. Any conflicts between the description attached to this First Amendment and those contained in the Agreement shall be resolved in favor of this First Amendment. Notwithstanding anything to the contrary in this First Amendment, Tenant is not relinquishing any rights to any lease area, access easements, or utility easements that it possesses prior to the Effective Date. In the event the location of any of Tenant's Site Name:Baytown City Hall 1 Business Unit 822559 or its sublessees' existing improvements, utilities, or access routes are not depicted or described on the site plan or legal descriptions, Tenant's leasehold rights and access and utility easement rights over such areas shall remain in full force and effect and the Premises shall be deemed to include such areas 3. Utility Easements. Landlord hereby grants and conveys unto Tenant, its successors and assigns, non-exclusive, easements to install, replace and maintain utility wires, lines, cables, fiber, conduits and pipes on, under, over and across the area shown on the Survey attached hereto on Exhibit B and further described on Exhibit A-2 attached hereto (the "Utility Easements"). All utility wires, lines. cables, conduits and pipes within the Utility Easements shall be installed and maintained in accordance with local codes and ordinances. During the period of installation, removal or replacement of utility facilities by Tenant within the Utility Easements, Tenant shall have the right to use as temporary easements those areas of Landlord's Property immediately adjacent to the Utility Easements as may be reasonably necessary for Tenant's construction, installation, removal or replacement of said facilities. Notwithstanding anything herein to the contrary, Landlord may use the surface of the land above the Utility Easements for paving,parking area and curbing, as shown on the Survey. 4. Representations, Warranties and Covenants of Landlord. Landlord represents, warrants and covenants to Tenant as follows: a) Landlord is duly authorized to and has the full power and authority to enter into this First Amendment and to perform all of Landlord's obligations under the Lease as amended hereby. b) Tenant is not currently in default under the Lease, and to Landlord's knowledge, no event or condition has occurred or presently exists which, with notice or the passage of time or both, would constitute a default by Tenant under the Lease. c) Landlord agrees to provide such further assurances as may be requested to carry out and evidence the full intent of the parties under the Lease as amended hereby, and ensure Tenant's continuous and uninterrupted use, possession and quiet enjoyment of the Premises under the Lease as amended hereby. 5. Notices. In the event the Landlord's Property is transferred,the succeeding Landlord shall have a duty at the time of such transfer to provide Tenant with a completed IRS Form W-9, or its equivalent, and other related paper work to effect a transfer in the rent to the new Site Name:Baytown City Hall 2 Business Unit#:822559 Landlord. Landlord's failure to provide the IRS Form W-9 within thirty (30) days after Tenant's request shall be considered a default and Tenant may take any reasonable action necessary to comply with IRS regulations including, but not limited to, withholding applicable taxes from rent payments. 7. Counterparts. This First Amendment may be executed in separate and multiple counterparts, each of which shall be deemed an original but all of which taken together shall be deemed to constitute one and the same instrument. 8. Remainder of Lease Unaffected. In all other respects, the remainder of the Lease shall remain in full force and effect. Any portion of the Lease that is inconsistent with this First Amendment is hereby amended to be consistent. 9. Recordation. Tenant, at its cost and expense, shall have the right to record a memorandum of this First Amendment in the Official Records at any time following the execution of this First Amendment by all parties hereto. In addition, Tenant shall have the right in its discretion, to record a notice of lease, affidavit or other form to be determined by Tenant without Landlord's signature in form and content substantially similar to the memorandum, to provide record notice of the terms of this First Amendment.
