OF THE BAYTOWN MUNICIPAL DEVELOPMENT DISTRICT
September 7, 2023
The Board of Directors of the Baytown Municipal Development District (MDD) met in a
Regular Meeting on Thursday, September 7, 2023, at 4:35 P.M., in the Council Chamber of the
Baytown City Hall, 2401 Market Street, Baytown, Texas with the following in attendance:

Vice President Laura Alvarado convened the September 7, 2023, MDD Board Regular Meeting
with a quorum present at 4:35 P.M., all members were present with the exception of President
Brandon Capetillo, Secretary David P. Jiirels, and Directors Heather Betancourth, Gary Englert,
and Suhey Rios-Alvarez, who were absent.
1. PROPOSED RESOLUTIONS
a. Consider a resolution adopting the Baytown Municipal Development District Fiscal
Year 2023-24 Budget.
Chief Financial Officer Teresa McKenzie presented Agenda Item l.a. by providing an overview
of the proposed Fiscal Year 2023-24 Baytown Municipal Development District Budget. Ms.
McKenzie stated the budget as presented is the same budget that was presented at the August 3,
2023 MDD Meeting. The budget reflects a projected Revenue of $8.8 million, expenditures at
$8.3 million, thereby leaving a Capital Working Balance of $526,000, and then stated Staff
recommends approval.
Vice President Laura Alvarado asked for a motion to approve Agenda Item l.a., and General
Manager Jason Reynolds requested the Board to conduct the Executive Session, Agenda Item
3.a. prior to approval of this item as it might impact the proposed budget. As such, Vice
President Alvarado announced that Mr. Donovan Jones had signed up to speak on this item and
offered the podium for three minutes to speak on this item.

Mr. Jones stated his name and address for the record and he represents a small entertainment
company that recently purchased a small building in the Downtown ACE District area. They
purchased this property with the expectations they would receive incentives from the Business
Improvement Grant (BIG), and they are asking for Council's consideration of their application
that was previously submitted to the City of Baytown. Since this item was not on the agenda for
consideration, Vice President Alvarado directed Staff to follow up on their application and
thanked Mr. Jones for his investment in Baytown.
At this point Vice President Alvarado moved to Agenda Item 3.a., and once complete the agenda
continued to Agenda Item I.a., 1.b., and 2.b.
A motion was made by Director Jacob Powell, and seconded by Director Mike Lester to approve
Resolution No. 465, related to Item La. as submitted. The vote was as follows:

RESOLUTION NO. 465
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN
MUNICIPAL DEVELOPMENT DISTRICT ADOPTING A BUDGET FOR THE
ENSUING FISCAL YEAR, BEGINNING OCTOBER 1, 2023, AND ENDING
SEPTEMBER 30, 2024; AND PROVIDING FOR THE EFFECTIVE DATE
THEREOF.
b. Consider a resolution authorizing payment to S&P Global Ratings for analytical
services rendered.
Finance Director Victor Brownlees presented Agenda Item I.b. and stated Resolution No. 466
authorizes a payment to S&P Global Ratings for analytical services rendered with Baytown
Municipal Development District as required by the Bond for the Hotel and Convention Center
venture.
A motion was made by Director Mike Lester, and seconded by Director Jacob Powell to approve
Resolution No. 466, related to Item 1.b. The vote was as follows:

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN
MUNICIPAL DEVELOPMENT DISTRICT AUTHORIZING PAYMENT TO
S&P GLOBAL RATINGS, FOR ANALYTICAL SERVICES RENDERED FOR
THE SERIES 2021 FIRST-LIEN REVENUE BONDS AND SERIES 2021
SECOND-LIEN REVENUE BONDS, IN AN AMOUNT NOT TO EXCEED
SIXTY-SIX THOUSAND AND NO 100 DOLLARS ($66,000.00); MAKING
OTHER PROVISIONS RELATED THERETO; AND PROVIDING FOR THE
EFFECTIVE DATE THEREOF.
2. MANAGER'S REPORT
a. The next Baytown Municipal Development District meeting is scheduled for
Thursday,October 5, 2023, at 4:30 p.m., in the Council Chamber located at City Hall, 2401
Market Street, Baytown,Texas, 77520.
General Manager stated the next regular meeting is scheduled for October 5, 2023; however, due
to a scheduling conflict with the Council's schedule, a Special Meeting might be called prior to
the October 5th meeting date, and Staff will reach out to the Board once a date is determined.
3. EXECUTIVE SESSION
a. Recess into and conduct an executive session pursuant to Section(s) 551.072 and/or
551.087 of the Texas Government Code to deliberate the purchase, exchange, lease, or
value of real property and/or to deliberate regarding economic development negotiations.
At 4:40 P.M., Vice President Laura Alvarado recessed into and conducted an executive session
pursuant to Section(s) 551.072 and or 551.087 of the Texas Government Code to deliberate the

At 5:13 P.M., Vice President Laura Alvarado reconvened the Open Meeting of the MDD Board
Regular Meeting and announced in accordance with Section 551.102 of the Texas Government
Code, no action was taken in the Executive Session.
4. ADJOURN
With there being no further business to discuss, Vice President Laura Alvarado adjourned the
September 7, 2023, MDD Board Regular Meeting at 5:l6 P.M.
