TEXAS, AUTHORIZING AN AMENDMENT TO DETENTION AGREEMENT
WITH CAREYBLANCO MANAGEMENT, LLC, FOR THE COTTAGES AT
SAN JACINTO BLVD. PLANNED UNIT DEVELOPMENT; MAKING OTHER
PROVISIONS RELATED THERETO; AND PROVIDING FOR THE
EFFECTIVE DATE THEREOF.

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF BAYTOWN,TEXAS:
Section 1: That the City Council of the City of Baytown, Texas, hereby authorizes and
directs the City Manager to execute an Amendment to Detention Agreement with CareyBlanco
Management, LP, successor in interest to REME Financial, LLC, for the purpose of deeding
additional lands to the City of Baytown to accommodate for the final detention pond boundary and
provide an access easement to serve the site for vehicular and pedestrian traffic, and pond
maintenance. A copy of said amendment is attached hereto as Exhibit"A"and incorporated herein
for all intents and purposes.
Section 2: This ordinance shall take effect immediately from and after its passage by the
City Council of the City of Baytown.

AMENDMENT TO DETENTION AGREEMENT

This Amendment ("Amendment") to the Detention Agreement executed January 31, 2022, between the
CITY OF BAYTOWN, a municipal corporation located in Harris and Chambers Counties, Texas (the
"CITY"), whose address for purposes hereof is P.O. Box 424, Baytown, Texas 77522, and REME
Financial, LLC.,a Texas limited liability company("REME"),whose address for purposes hereof is 701
Putter Ct, College Station, TX 77845-8997 (the "Agreement") is entered into and effective as of this
day of , 2023 ("Effective Date").
WHEREAS, CareyBlanco Management, LP, a Texas limited partnership, ("CareyBlanco") is the
successor in interest to REME Financial,LLC,under the Agreement;and
WHEREAS, the drainage of excess water for the purpose of flood control serves a public
purpose;and
WHEREAS, CareyBlanco owns that property more particularly described as Exhibit "A" to the
Agreement("Exhibit A"); and
WHEREAS, the property more particularly described as Exhibit 1 attached to this Amendment
("Exhibit 1")is currently part of the property described in Exhibit A;and
WHEREAS, the CITY owns the property located adjacent to the Property, as more particularly
described in Exhibit "B"to the Agreement("Exhibit B");and
WHEREAS, in accordance with paragraph 2.1(a)of the Agreement, CareyBlanco has constructed
a detention pond upon the property described in Exhibit B; and
WHEREAS,CareyBlanco wishes to make improvements to the pond; and
WHEREAS, as part of the pond improvements and for the purpose of draining excess waters and
controlling flood waters in and around the property described in Exhibit A (whether adjacent to the
property described in Exhibit A or not, and whether owned by CareyBlanco or not), CareyBlanco wishes
to grant to the City the property described in Exhibit 1;and
WHEREAS, the grant to the City of the property described in Exhibit 1 shall be by and through
the Warranty Deed attached to this Amendment as Exhibit 2("Exhibit 2");and
WHEREAS, in exchange for granting the property described in Exhibit 1 to the City,
CareyBlanco requests a license to enter upon the City Property as more particularly described in Exhibit
3 attached to this Agreement ("Exhibit 3") in order to allow vehicular and pedestrian traffic to and from
the properties described in Exhibits A and B and Exhibits 1 and 3, improve and maintain the pond, and
ensure CareyBlanco's access to the properties for the purpose of satisfying its obligations under the
Agreement and this Amendment;and
WHEREAS, draining excess waters and controlling flood waters in and around the property
described in Exhibit A benefits the residents of the City.
NOW,THEREFORE, the CITY and CareyBlanco agree as follows:
Concurrent with the execution of the Amendment, CareyBlanco shall execute the warranty deed
attached as Exhibit 2
In accordance with paragraph 4.4 of the Agreement, the CITY and CareyBlanco amend the
Agreement as follows:
I.
All references in the Agreement to RF;ME Financial, LLC or REME shall mean CareyBlanco
Management, LP.
II.
Exhibit 2 to this Amendment shall be attached to the Agreement as Exhibit "D."
III.
Exhibit 3 to this Amendment shall be attached to the Agreement as Exhibit "E."
IV.
Section 2.1 is amended to add subsections (h)and(i)as follows:
(h) For the purpose of improving the detention pond described in Section 2.1(a)(1) and for
the purpose of draining excess waters and controlling flood waters in and around the
property described in Exhibit A, CareyBlanco shall grant to the CITY in fee simple, the
property described in the warranty deed attached hereto as Exhibit "D," including all
exhibits thereto. All references in this Agreement to "the City Property" shall include the
properties described in Exhibits B and D.
(i) CareyBlanco understands and agrees that any improvements it makes to the facilities
listed in Section 2.1(a)must first be approved by the City in writing.
Section 2.2(b)is amended as follows:
(b) The CITY hereby grants a non-exclusive license to CareyBlanco to enter upon the City
Property in accordance with the terms and provisions of this Agreement for the sole
purpose of constructing, maintaining, repairing and replacing the Pond, the Trail and the
Improvements; to provide, in part off-site detention for the CareyBlanco Property; and
to allow vehicular and pedestrian traffic to and from the CareyBlanco Property and the
City Property.
