1997 10 15 BAWA MinutesMINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER AUTHORITY October 15, 1997 The Board of Directors of the Baytown Area Water Authority, Harris County, Texas, met in regular session on Wednesday, October 15, 1997, at 7425 Thompson Road, in the BAWA Conference Room with the following in attendance: Robert L. Gillette, President Dan Mundinger, Vice President Peter R. Buenz, Secretary Knox Beavers, Board Member Roy L. Fuller, Board Member The meeting opened with a quorum present, and the following business was conducted. Consider Approval of Minutes for the Regular Meeting Held on September 17, 1997 Board Member Buenz moved for approval of the minutes for the regular meeting held on September 17, 1997. Board Member Mundinger seconded the motion. The vote follows: Ayes: Board Members Beavers, Buenz, Fuller, Gillette and Mundinger Nays: None 971015-2 Minutes of Regular Meeting — October 15, 1997 Consider Approval of Preliminary Official Statement for Sale of $1,350,000 Water Supply Contract Revenue Bonds, Series 1997 The Plant Manager presented the Preliminary Official Statement to the Board. He stated that the Table of Contents outlines everything in the statement. In response to inquiry from Board, he said that the Bond Counsel is Vinson & Elkins and that payment on the bonds will commence 2003. The Plant Manager recommended that the Board approve the statement. He said that meetings were planned for October 23 at City Hall. The BAWA Board would meet at 5:00 p.m. to approve an amendment to the contract with the City of Baytown. The amendment adds a section stating that if BAWA defaults for any reason, the City of Baytown is responsible. At 5:05 p.m. Baytown City Council would meet to approve that amendment. At 5:15 p.m. the BAWA Board would meet with financial and legal advisors to sell the BAWA bonds, and the Baytown City Council would approve the bond sale at their regular session Board Member Buenz moved to approve the Preliminary Official Statement. Board Member Gillette said the Statement included the date of October 23 for BAWA special meetings and the Board would not have a quorum on that date. He said that since it would be necessary to select another date, the Board would return to this item later. Consider Award of Chlorine Bid BAWA received three bids. Jones Chemical was the low bidder. Jones Chemical has been the successful bidder for the last two years, and their performance has been satisfactory. Board Member Fuller moved to award the bid to Jones Chemical. Board Member Buenz seconded the motion. The vote follows: Ayes: Nays: Board Members Beavers, Buenz, Fuller, Gillette and Mundinger None For bid tabulation, see Attachment "A." • 971015-3 • Minutes of Regular Meeting — October 15, 1997 Consider Approval of Preliminary Official Statement for Sale of $1,350,000 Water Supply Contract Revenue Bonds, Series 1997 Board Member Buenz moved to modify his motion to approve the Preliminary Official Statement with the stipulation that the date of the BAWA special meetings at City Hall to approve the water contract amendment and to sell the bonds be changed to November 6, 1997. Board Member Fuller seconded the motion. The vote follows: Ayes: Board Members Beavers, Buenz, Fuller, Gillette and Mundinger Nays: None Manager's Report Regular Meeting in November The regular meeting scheduled for November 19 will be held on November 12 for the Board to consider bids on water filter rehabilitation. Mont Belvieu Mont Belvieu has not made a decision on their water supply, but basically, they have four choices: 1. Building a water treatment plant; 2. Drilling more water wells at a cost of about 1/2 Million each with a life span of approximately five years; 3. Buying water from the City of Baytown; 4. Buying water from Baytown Area Water Authority. Mont Belvieu would prefer to be independent and have their own water service treatment plant. BAWA would like to sell water to Mont Belvieu, but Mont Belvieu would be required to run a line down Wallisville Road. They need 600,000 gallons a day. BAWA has a capacity of 13 mgd; Baytown is using 11 mgd, adding Mont Belvieu would take it up to 12 mgd. Baytown is growing at the rate of one percent per year.
