MINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS
OF THE BAYTOWN AREA WATER AUTHORITY
August 19, 2009
The Board of Directors of the Baytown Area Water Authority, Harris County, Texas, met
in a Regular Meeting on Wednesday, August 19, 2009 at the Baytown Area Water
Authority's Fritz Lanham Water Treatment Facility Conference Room, 7425 Thompson
Road, Baytown, Texas, with the following in attendance.
John Sandhop President
Dan Mundinger Vice President
Brenda Bradley Smith Director
Director Wayne Baldwin was absent from the August 19, 2009 Regular Meeting.
President Sandhop convened the August 19, 2009 Regular Meeting with a quorum
present at 8:00 A.M.
1. MINUTES
a. Approve the Minutes of the Baytown Area Water Authority (BAWA)
Board Regular Meeting held on July 15, 2009.
Motion was made by Director Mundinger, seconded by Director Smith approving the
minutes from the July 15, 2009 Regular Meeting.
Ayes: Directors: Mundinger, Smith, and President Sandhop
Nays: None
The motion carried.
2. PUBLIC HEARING
a. Public Hearing Adopting Baytown Area Water Authority 2009-10 Proposed
Budget - Finance.
City Manager Garry Brumback presented the agenda item.
President Sandhop conducted the public hearing for the Baytown Area Water Authority
(BAWA) 2009-10 Proposed Budget.

The public hearing was called to order by President Sandhop at 8:01 A.M.
There being no one registered to speak President Sandhop closed the public hearing at
8:03 A.M.
3. PROPOSED RESOLUTIONS
a. Adopt the Baytown Area Water Authority 2009-10 Proposed Budget -
Finance.
General Manger Garry Brumback presented the agenda item.
Resolution 2009-08 adopted the Baytown Area Water Authority (BAWA) 2009-10
Proposed Budget.
Motion was made by Director Smith, seconded by Director Mundinger approving
Resolution 2009-08. The vote was as follows:
Ayes: Directors: Mundinger, Smith, and President Sandhop
Nays: None
The motion carried.
RESOLUTION 2009-08
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
BAYTOWN AREA WATER AUTHORITY ADOPTING A BUDGET
FOR THE ENSUING FISCAL YEAR, BEGINNING OCTOBER 1, 2009,
AND ENDING SEPTEMBER 30, 2010; MAKING OTHER
PROVISIONS RELATED THERETO; AND PROVIDING FOR THE
EFFECTIVE DATE THEREOF.
b. Memorandum of Understanding with City of Baytown for IKE CDBG
Program - Planning and Development.
General Manger Garry Brumback presented the agenda item and stated that Resolution
No. 2009-09 authorizes a Memorandum of Understanding between the City of
Baytown and the Baytown Area Water Authority (BAWA) to cooperate in the
development and implementation of BAWA's project(s) under the IKE CDBG Program.
The City agrees to apply to the Texas Office of Rural Community Affairs (the "ORCA")
for the Texas Community Development Block Grant Program 2008 Supplemental
Disaster Recovery Fund: Hurricanes Dolly and Ike (the "IKE CDBG") to address non -
housing public infrastructure that was damaged or failed to function during Hurricane Ike
and to mitigate future disaster events. If any proceeds are awarded under the IKE CDBG,
the City will allocate and distribute the proceeds of the IKE CDBG to BAWA for eligible

projects in accordance with federal law and the application to the IKE CDBG. BAWA
will assume ownership and responsibility for long-term maintenance and operation of the
eligible projects for which funds from the IKE CDBG will be used.
Motion was made by Director Sandhop, seconded by Director Mundinger approving
Resolution No. 2009-09. The vote was as follows:

RESOLUTION NO. 2009-09
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
BAYTOWN AREA WATER AUTHORITY AUTHORIZING A
MEMORANDUM OF UNDERSTANDING WITH THE CITY OF
BAYTOWN, ALLOWING THE CITY TO IMPLEMENT BAWA'S
PROJECT(S) UNDER THE IKE-CDBG PROGRAM; AND
PROVIDING FOR THE EFFECTIVE DATE THEREOF.
4. MANAGER'S REPORT
a. Present 15 Year Service Award to Ms. Paula Johnson and Introduce Ms. Kim
Ball as the new BAWA Administrative Assistant — General Manager.
City Manager presented the agenda item.
Mr. Sandhop thanked and presented Ms. Paula Johnson a service award for her 15 years
of service to the Baytown Area Water Authority and General Manager, Garry
Brumback introduced Ms. Kim Ball as the new administrative assistant for the Baytown
Area Water Authority.
5. ADJOURN
President Sandhop adjourned the Regular Meeting on August 19, 2009 at 8:07 A.M.
