A RESOLUTION OF THE BOARD OF DIRECTORS OF THE BAYTOWN AREA
WATER AUTHORITY AUTHORIZING AN AGREEMENT WITH REYTEC
CONSTRUCTION RESOURCES, INC., FOR THE BAWA 30-INCH WATER
TRANSMISSION LINE PROJECT IN AN AMOUNT OF NINE MILLION SIXTY-EIGHT
THOUSAND SIX HUNDRED SIXTY AND NO/100 DOLLARS ($9,068,660.00)
SUBJECT TO THE APPROVAL OF THE CITY COUNCIL OF THE CITY OF
BAYTOWN; MAKING OTHER PROVISIONS RELATED THERETO; AND
PROVIDING FOR THE EFFECTIVE DATE THEREOF.
WHEREAS, the Baytown Area Water Authority ("BAWA") received bids for its 30-inch Water
Transmission Line Project (the "Project") on January 31, 2006; and
WHEREAS, the bid documents specified that PVC pipe was to be used for the base bid; however,
such documents allowed bidders to submit bids for the project using concrete, ductile iron, and steel as
alternatives; and
WHEREAS, the Board of Directors of BAWA have reviewed the pipe alternatives; and
WHEREAS, based upon the information received and the recommendations from BAWA's engineer ,
the Board of Directors desires that the Project be constructed using PVC pipe as the same is determined to be
most advantageous to BAWA; and
WHEREAS, bidders were given notice of the meeting at which the Project would be awarded; and
WHEREAS, at such meeting, such bidders were given an opportunity to appear before the Board of
Directors to present evidence concerning their ability, responsibility, experience, manpower, equipment,
efficiency, reliability, reputation, quality of work, and capacity to perform the work required for the Project;
and
WHEREAS, after considering the recommendation of BAWA's engineer as well as the information
presented to the Board of Directors by the bidders and others in attendance at its March 15th meeting, the
Board believes that awarding the bid to Reytec Construction Resources, Inc., a responsible bidder, will be
most advantageous to BAWA and will result in the best and most economical completion of the Project;
NOW THEREFORE,
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BAYTOWN AREA WATER
AUTHORITY:
Section 1: That the recitals set forth hereinabove are hereby found to be true and correct.
Section 2: That subject to the approval of the City Council of the City of Baytown, Texas, the
Board of Directors of the Baytown Area Water Authority hereby accepts the bid of Reytec Construction
Resources, Inc., for the BAWA 30-inch Water Transmission Line Project, according to the plans and
specifications set forth by BAWA's Engineer in an amount ofNINE MILLION SIXTY-EIGHT THOUSAND
SIX HUNDRED SIXTY AND NO/100 DOLLARS ($9,068,660.00); and authorizes payment thereof, and the
General Manager and the Assistant Secretary of the Baytown Area Water Authority are hereby authorized
and directed to execute and attest to a contract with Reytec Construction Resources, Inc., for the above -
described project, said contract containing the plans, specifications, and requirements of the BAWA's

engineer and appropriate bond requirements in accordance with the provisions of Texas Government Code,
Chapter 2253.
Section 3: That the General Manager is hereby granted general authority to approve any change
order involving a decrease or an increase in costs of TWENTY-FIVE THOUSAND AND NO/100
DOLLARS ($25,000.00) or less; however, the aggregate of the change orders may not increase the original
contract price by more than ten percent (10%).
Section 4: This resolution shall take effect immediately from and after its passage by the Board
of Directors of the Baytown Area Water Authority.
INTRODUCED, READ and PASSED, by the affirmative vote of the Board of Directors of the
Baytown Area Water Authority this the 15`h day of March, 2006.
